PUBLIC NOTICE FOR THE DECLARATION OF INTEREST FOR THE LICENSE (PUBLIC PERMISSION) (“CONCESSIONE”) OF EXPLOITATION/VALUE ENHANCEMENT OF THE PROPERTY OWNED BY THE ITALIAN REPUBLIC CALLED PALAZZO SLAVATA

The Italian Embassy in Prague declares that it intends to receive declarations of interest for the license (public permission) (“concessione”) of exploitation/value enhancement of Palazzo Slavata, located in Thunovska street n. 25, 118 00 Malá Strana, Praga 1, according to article 3- bis D.L. n. 351/2001, converted in L. n. 410/2001 and following amendments.

1. GENERAL INFORMATION
The license (public permission) (“concessione”) of exploitation/value enhancement, according to article 3-bis D.L. n. 351/2001, converted in L. n. 410/2001 and following amendments, involves the license, granted to primary private operators, selected with public procedures and who meet the appropriate economic-financial and technical-organizational requirements, to use the property for economic purposes, for a period of time commensurate with the achievement of the economic and financial balance of the investment plan and related management, and in any case not exceeding 50 years, under condition of its requalification, functional conversion and ordinary and extraordinary maintenance. A license fee is also determined as consideration, which shall be established according to market values, considering both the investments that will be needed for the requalification and conversion of the property and the limited initial profitability of the operation.
Mainly borne by the licensee are:
– the implementation of measures needed for the requalification and conversion of the property, according to the submitted Project Proposal, expressly taking and assuming any related responsibility as well as the economic and financial risk on that matter;
– the exercise of his/her power of use and enjoyment of the property for the duration of the license (public permission) (“concessione”), in accordance with its nature and quality, in compliance with the prescriptions and procedures provided by the town-planning instruments of the City of Prague;
– the development, at his/her own risk, profit and under his/her responsibility, of the economic activities referred to in the submitted Management Plan, expressly taking and assuming any related economic and financial risk;
– the assumption of property ordinary and extraordinary maintenance obligations, for all the duration of the license (public permission) (“concessione”).

Legal provisions referred to in D.Lgs. n. 50 of 18/04/2016, containing the Code of public contracts relating to works, services and supplies in implementation of the directives 2014/23/UE and 2014/24/UE is not applicable to the license (public permission) (“concessione”) except for the legal provisions expressly mentioned.
The license relation that will be established shall be disciplined by the license act concluded with the contracting party selected on the basis of the best valid offer submitted in Phase II of this procedure and evaluated taking into account the following elements:
– economic offer, that is the annual license fee, compared to market value, that the bidder pledges to pay for the duration of the proposed license (public permission) (“concessione”), in accordance with the economic- financial balance of the investment plan and related management. The specification of an annual adjustment of the offered license fee on the basis of changes in the price index will be positively assessed;
– duration of the license (public permission) (“concessione”) expressed in years. The duration of the license goes for a maximum of fifty (50) years. The duration of the license, in accordance with the economic- financial balance of the investment, shall run from the time of the conclusion of the license act;
– quality and opportunity of the project proposal, in accordance with the historical value of the property and the maximization of the final value of the property at the end of the related requalification, in consideration of the economic commitment resulting from the submitted project.
– significant experiences in real estate restructuring, requalification and management activities.
The Embassy reserves the right to stop at any time the issued procedure, without the participants having any claim against it.

2. PROPERTY SUBJECT TO THE NOTICE
The property subject to this notice is described in Attachment 1. The information folder to support the correct presentation of the declaration of interest will also be available on the institutional website of the Embassy https://ambpraga.esteri.it/ambasciata_praga/it/ and will be open for inspection for the whole duration of the procedure.
Cadastral data identifying the property: property sheet n. 175, land n. 520.
Palazzo Slavata, accessible by Thunovska street n. 25, develops on six levels: 3 floors of apartments (n.16 in total), an attic space and n.2 basements (covered surface: 1407,00 square meters, total floor 2.778,00 square meters, property volume 28.695,55 cubic meters). The property borders the Italian Embassy in Prague (Palazzo Thun), located in Nerudova street n. 20.
The whole lower basement and a part of the upper basement are excluded from the license (public permission) (“concessione”) and, for safety reasons, shall remain in the exclusive use of the Embassy.
Attachment 1 includes the maps of the six floors of Palazzo Slavata, with explanatory coloring of the environments and indication of the parts of the property that shall remain in the availability of the Embassy. It also provides photographic material showing the location of the property, its facades and some internal environments.
The property is located in the cadastral land of Malá Strana, beneath the Prague Castle, in the historical district and near the center of the city. The Renaissance palace was built on the 16th century. The main facade overlooks the stairs of the Castle and it is decorated with large front panels and graffiti from the Renaissance period. The internal facade, which overlooks the courtyard shared with Palazzo Thun, headquarter of the Embassy, dates back to the 19th century. The facade of the panoramic tower dates back to the Baroque period, instead. The rooms on the ground floor have maintained the Renaissance vaults and in some rooms on the upper floors the ornamental plastering is still present.
Palazzo Slavata is included in the list of artistic properties in Zone 1 of Prague (property registered in the List of “Cultural Monuments” with code u 1-648), subject to the legal constraints referred to in L. n. 20/1987 of historical monuments’ protection, preserved by the National Superintendence (National Historical Monuments Institute) and by the Municipality of Prague. Hence, the new designated use and the potential interventions to be carried out on the Palace shall be the subject of a specific project to be approved by the National Superintendence (National Historical Monuments Institute).

3. COMPULSORY INSPECTION
An inspection of the property, to be carried out according to the times and methods to be agreed with the Embassy appointee, Dr. Kamila Halova, is compulsory. The inspection shall be requested by sending an e-mail to the address kamila.halova@esteri.it The people who will carry out the inspection must have a valid identification document and must sign a liability waiver and disclaimer form to access the premises. Attachment 2.
The presence of the legal representative or a person in charge, with a specific proxy from the party interested in participating this procedure during the inspection, is compulsory. The names (maximum of 3) of the people that will take part in the inspection, with related personal and telephone data, must be specified in the inspection request.
A site inspection certificate will be issued to the person who carried out the inspection, which shall be attached to the documentation to be submitted in the following phase of the procedure.

4. SUBJECTS ADMITTED AND REQUIREMENTS
All the subjects, individuals or legal entities, who meet the requirements referred to in this Notice can participate to the procedure.
Participation is allowed individually or in group.
It is not allowed for applicants to participate in more than one Temporary Group or Consortium or to participate both individually and in group.
Participation is allowed only for subjects who do not meet the exclusion conditions referred to in article 80 of D.Lgs. 50/2016 or similar legal provisions of local legislations implementing article 57 of directive 2014/24/UE.
In the application form, the participants shall declare, under their own responsibility and under penalty of inadmissibility of the forms not containing such declaration, that they meet the requirements below, attesting their specific economic-financial capacity and professional and managerial capacity in relation to the property subject of the license (public permission)

(“concessione”):
4.1 Requirements as to professional competence;
4.2 Requirements as to economic capacity, demonstrable through
4.2.1 Bank reference attesting correctness and punctuality in fulfilling the commitments made with the institution or intermediary, as well as the absence of liabilities with the same or other subjects;
4.2.2 Statement of company turnover. This amount, understood as a whole, must be referred to the last 3 years prior to the date of publication of this Notice;
4.3 Requirements as to technical and professional skills.
In the last three years prior to the date of publication of this Notice, similar real estate restructuring, requalification and management activities shall have been carried out.

5. PROCEDURE AND METHODS FOR PRESENTING THE APPLICATION FORM

The procedure to grant the license (public permission) (“concessione”) develops in two phases:
Phase I, public, consisting of this notice for the declaration of interest, aiming at identifying a short list of economic operators, who meet the requirements, to be invited to submit a proposal in Phase II.
Phase II, where the economic operators who applied for Phase I and have met the requirements, will be invited to submit the proposals, among which the most cost-effective will be chosen.
The interested subjects must send their application form for the admission to the procedure in a sealed envelope, with the indication “Declaration of interest for the license (public permission) (“concessione”) of exploitation/value enhancement of Palazzo Slavata” using the form contained in Attachment 3, no later than 12 pm of April 15th 2020. Sending can be made via PEC at the following address: amb.praga@cert.esteri.it or alternatively via registered mail or hand delivery to the Protocol Office of the Italian Embassy in Prague – Nerudova street n. 20, 11800 Prague 1 – making sure to attach a photocopy of I.D. and to indicate the sender. The Embassy is exempted from any liability due to the failure or delayed shipment or delivery of the envelope, whatever may be the cause giving rise to it. The date and time marked on the envelope by the Embassy receptionist shall prevail.

6. PERSONAL DATA PROCESSING. DISCLOSURE ACCORDING TO ARTICLE 13 OF GDPR N. 679/2016 AND FOLLOWING AMENDMENTS
According to article 13 of GDPR n. 679/2016 and following amendments, please note that:

a) personal data provided and collected on the occasion of this procedure will be used exclusively depending on and for the purposes of the procedure in question and will also be kept until no later than the conclusion of the procedure;
b) the processing of personal data will be based on lawfulness and fairness in the full protection of applicants’ rights and their confidentiality;
c) in relation to the aforementioned data, the data subject may exercise the rights referred to in article 15 of GDPR n. 679/2016 and following amendments;
d) the data processor is the Embassy.
This note and the reception of declarations of interest do NOT imply any obligation of the Embassy towards the interested parties nor, for the latter, any right to any performance by the Embassy.
This procedure is governed by Italian law.
